Terms & Conditions
These Terms & Conditions (“Terms”) are a legally binding agreement between HAYER APPAREL LIMITED (“we”, “us”, “our”), a company registered in the United Kingdom with address at 55 Northdene Rd, Leicester, LE2 6FJ, and you (“you”, “your”), the trade partner (individual or legal entity) engaging our wholesale bedding services (“Services”). By requesting, booking or receiving our Services, you agree to be bound by these Terms, our Privacy Policy and our Returns Policy (collectively “Agreements”). If you do not agree with any part of these Agreements, you must not use our Services.
1. Service Provision
1.1 We will provide the Services in accordance with the order details agreed between you and us, including product type, quantity, quality standards, delivery timeline and pricing.
1.2 We warrant that all products supplied will be of the agreed quality, free from defects (unless otherwise specified) and conform to the product descriptions provided.
1.3 We reserve the right to change product availability or specifications with prior written notice to you. If a product is no longer available, we will offer a suitable alternative or a full refund.
2. Customer Obligations
2.1 You warrant that you have the legal right and authority to engage our Services and to provide accurate, complete business and order information to us. 2.2 You agree to make payment in accordance with the agreed payment terms. Failure to make timely payment may result in order suspension or cancellation. 2.3 You agree to inspect delivered products within 24 hours of receipt and notify us of any defects, damage or discrepancies immediately. 2.4 You will not use our products or services for any illegal or unauthorized purposes.
3. Fees & Payment
3.1 The fees for our Services (including product prices and shipping costs) will be agreed in writing (via email or order confirmation). All prices are quoted in British Pounds Sterling (GBP) and include UK VAT (where applicable).
3.2 Payment terms: We accept payment via bank transfer, credit card or other agreed methods. Payment is required in full before order dispatch, unless otherwise agreed in writing.
3.3 Late payment: If you fail to make payment on time, we reserve the right to charge late payment interest in accordance with UK law.
4. Intellectual Property Rights
4.1 We retain all intellectual property rights in our product catalogs, images, logos and branding materials. You may not use, copy or disclose these materials without our explicit written consent.
4.2 You retain all intellectual property rights in your business information and logo, provided that you grant us a limited license to use your logo for order fulfillment purposes only.
5. Limitation of Liability
5.1 To the fullest extent permitted by UK law, we will not be liable for any indirect, incidental, consequential or special damages arising out of or in connection with our Services, including loss of profits or business opportunities.
5.2 Our total liability to you for any claims arising out of these Terms will not exceed the total amount paid by you for the relevant order.
5.3 We will not be liable for delays or losses caused by factors beyond our reasonable control (force majeure), including severe weather, logistics disruptions or public holidays.
6. Termination
6.1 Either party may terminate the agreement by providing written notice if the other party commits a material breach of these Terms and fails to remedy the breach within 14 calendar days.
6.2 We may terminate the agreement immediately if you fail to make payment, provide false information or use our Services for illegal purposes.
6.3 Upon termination, you will pay us for all products delivered and services provided up to the date of termination.
7. General Provisions
7.1 These Terms are governed by the laws of England and Wales.
7.2 Any disputes arising out of these Terms will be resolved through amicable negotiation; if no agreement is reached, the dispute will be referred to the courts of England and Wales.
7.3 Any amendments to these Terms must be in writing and signed by both parties.
7.4 These Terms constitute the entire agreement between you and us, superseding all prior oral or written agreements.
